August 19, 2019
Call to order: David Bisson, President, called the meeting to order at 1:00 pm. The Pledge of Allegiance was recited and the residents were reminded of all building exits in case of any emergency.
Roll call: Present: Rodney Disbennett and Paul Stevens. By teleconference David Bisson, Richard Dickson, Hank Madura, Jill Palmer, Leonard Richardson, Bucky Rogers, and Nancy Thurnherr.
Also in attendance were Randal Browning, Park Manager and Linda Krout Park Accountant/Office Manager. Parliamentarian Jack Pasquale by teleconference.

Carol Curley -702 Sanchez. We have an outstanding Finance Committee. There have been two budgets developed, one from the Finance Committee and the other from some members of the HOA Board. Why does the HOA Committee they are better qualified than the Finance Committee? We need a five year plan to see if we truly need to increase the fee. We want to hold the $130. Fee in place and develop the five year plan, and then get all the facts and fees together for the 2021 budget.

STANDING COMMITTEE REPORTS
FINANCE: Jack Pasquale, Chairman. The Finance Committee has reviewed the July 31, 2019 month end financial statements including Bank Balances, Cash Flow, Balance Sheet, July P&L, Year to Date P&L, Reserves, Transaction Detail, Asset Expenditures, General Ledger Entries, Notes on Financials, and Budget Variances. No unexplained material variances were identified. They also noted that our cash position is in line with the Investment Policy. They met several times over the last several months to develop a proposed 2020 Operating and Reserve Budget. They expressed concern during the 2019 Operating Budget preparation process that expenses were increasing beyond that which could be supported by income, and that trend was once again recognized in the 2020 Operating Budget preparation process. Each line item was scrutinized and many questions were raised. A number of recommendations were made to reduce expenses on certain line items. The Finance Committee recommends using a portion of the surplus operating funds which are residual revenue over expense monies from the LCRE bonuses deposited to the Operating Fund in 2017 and 2018 to balance the budget to maintain the monthly maintenance fee at $130.00 per month. As they pointed out last year we cannot rely on the presence of an LCRE bonus in budgeting and any such bonus or other one-time revenue will be deposited to the CAA Fund in 2019 and forward. We will need to identify new sources of revenue to make up for reduced and lost sources of revenue while continuing to reduce current expenses and prioritize new expenses. LA CASA REAL ESTATE – Bucky Rogers as Liaison read the following report for Linda Swab. As of June 30, 2019 they closed 4 shareholder homes, for a total of 35 for the YTD compared to 33 for 2018. Closed on 1 non-shareholder homes, for a total of 1 for the YTD compared to 1 in 2018. No empty lots. Currently 7 shareholder homes, 0 non-share, and 0 vacant lots pending to close. Currently 30 shareholder and 1 vacant lot available for sale. Average price for shareholder homes is $122,000 compared to $135,100 in 2018.
MANAGER’S REPORT: Randy Browning- Lake Del Hacienda is complete with new irrigation, found, electrical, fountain as well as memorial upgrade. Aquatic plantings will be done in October or later. The office roof materials were delivered today and hopefully demolition starts tomorrow. He Rec Hall Hot Tub has been completed with a new life time surface. The yearly common palm trees pruning has been completed. The lawn mowing company can make mistakes. If you experience a missed blowing, edging of driveway, missed mowing or weed whacking contact the office so a work order can be completed and forwarded to the lawn maintenance supervisor. They can only fix a problem when they are aware of it. With the heavy rains, chemicals and mineral seep out of the yards onto the street making it very slippery. To avoid falling it is best to walk in the middle of the street to avoid slipping while being mindful of cars.
PRESIDENT’S REPORT: David Bisson. President Bisson welcomed people that recently purchased in La Casa as well as oldies returning for another season. He thanked the Park Manager Randy Browning, Rich Palmer and other members of the Landscape committee for an outstanding job well done. Through your efforts, you have made a significant improvement to the park as viewed by any prospective buyers, let alone all residents. This is our first Board meeting since May. At this meeting we will discuss and approve for distribution an operating budget and the reserve budget for 2020. The budgets will be mailed to all shareholders in the next few days. The Board will vote on an operating budget and a reserve budget at its September meeting. In preparation for this budget, as a Board, we had to deal with the fact that our income continues to decrease. In the budget, we have made every effort to continue to provide the level of services that you have come to expect as a resident of La Casa.

MOTION: To have the HOA Board approve the distribution of the 2020 Operating Budget as proposed by the Standing Committee on Finance to all La Casa shareholders. (Madura/Disbennett) Motion Failed 3-6. Yea = Disbennett, Richardson, Rogers. Nay = Bisson, Dickson, Madura, Palmer, Stevens & Thurnherr
MOTION: To have the HOA Board approve the distribution of the Alternative 2020 Operating Budget as proposed by the Board Officers to all La Casa shareholders. (Madura/Palmer) Motion Passed 6-3. Yea=Bisson, Dickson, Madura, Palmer, Stevens & Thurnherr. Nay= Disbennett, Richardson, Rogers.
(Note: Rich Dickson asked Hank to explain the difference between the two budgets. After which Rodney asked for the motion to move invalid as he felt David did not have the right to bring the motion forward. David replied that he is out of order and his facts are not accurate. Bucky asked to have our attorney review to see if it is valid motion)
MOTION: To have the HOA Board approve the dissemination of the revised reserve expenditure detail to our Reservist. (Madura/Palmer) Unanimously Passed
MOTION: To have the HOA Board approve the distribution of the proposed 2020 Reserves Budgets dated August 12, 2019 to all La Casa shareholders. (Madura/Palmer). Unanimously Passed.

MOTION: On behalf of the Activity association, to allow a small 5.0 cubic foot chest freezer recently donated to the Activity Association, to be placed in the storage hall (Club House) where the tables and chairs are kept, for use solely by the Activity Association sponsored Memorial Committee led by Marilee Taylor. (Stevens/Disbennett). Unanimously passed.

Louise Peri – 440 Umberto. She asked for Paul to answer Don’s question. David asked if he made a mistake with his vote. He stated no his vote stands.

Motion: To authorize the Non-Share Home Agreement for zero dollars between Nadine Hope Fidan, and Homeowners Association Of La Casa, Inc., covering the following property: A Certain 1980 Westwind Double-Wide Manufactured Home 24×60 (Serial # 5285A-and- 5285B) located on lot # 256, No. 405 Vivar, North Port, FL in La Casa, a Residential Cooperative. Upon assignment of the mobile home titles to the aforementioned manufactured home by Nadine Hope Fidan to the Homeowners Association of La Casa, Inc., the Homeowners Association of La Casa, Inc. does hereby release Nadine Hope Fidan and the Estate of Ruth Weiss of any and all financial responsibility due to the Homeowners Association of La Casa, Inc. (Rogers/Palmer). Unanimously Passed.

Attorney Ellington reviewed the Alternate Budget motion and the events that had taken place prior to and up through the Board vote. This request was made during the August 19, 2019 HOA Board meeting by Bucky Rogers and Rodney Disbennett. Her review in writing to the Board of Directors, Linda Krout and Randy Browning stated:
I have reviewed the materials you sent. I find the process used to approve sending the draft budget to the membership to be sufficient.
I understand that the August 19, 2019 Board meeting was properly noticed and open to the membership. The motion at issue was made, seconded, and voted on. I understand that 6 of the 9 Directors voted affirmatively. Further, I do not find anything in the cooperative documents requiring that the Association send out a budget recommended by the finance committee. Attorney Ellington also confirmed her response during the meeting. The Board had the opportunity to ask questions of Attorney Ellington. Meeting adjourned at 2:33 PM. |
